MicroStrategy’s Saylor Sued for Alleged Securities Violations and Investor Deception

An international law firm, Pomerantz LLP, has filed a class action lawsuit against Strategy (formerly MicroStrategy) and its founder. Michael Saylor, accusing them of issuing false and misleading statements about the firm’s profitability.
The suit targets investors who purchased Strategy securities between April 30, 2024, and April 4, 2025. It alleges that the company overstated the potential of its Bitcoin-focused strategy, downplayed the risks tied to Bitcoin’s volatility. And misrepresented financial impacts under new accounting standards.
This follows Strategy’s recent SEC disclosure of a $5.91 billion unrealized loss and a warning that future profitability is uncertain—despite acquiring more Bitcoin the same day the lawsuit was announced.
