SEC Division Moves to Clarify When Tokens Are Securities After Years of Ambiguity

The U.S. Securities and Exchange Commission (SEC) is advancing efforts to clarify when digital tokens qualify as securities. Aiming to reduce long-standing uncertainty that has clouded crypto compliance for years.

The initiative is part of a broader push by the SEC’s Division of Corporation Finance and other divisions to provide a structured framework for digital asset classifications, helping market participants, issuers and exchanges understand how federal securities laws apply to tokenized instruments.

Under the updated guidance, tokens and tokenized securities will be evaluated based on economic substance and rights conferred rather than technological format, with clearer taxonomies outlining how existing securities laws apply whether an asset is recorded on-chain or traditional systems. Regulators hope this increased clarity will streamline compliance. Support formal crypto rulemaking and encourage more predictable oversight as the industry seeks balanced regulation and investor protection.
